Jennifer has been Executive Vice President, Chief Legal Officer & Secretary at TerSera Holdings LLC since August 2023. She also serves as the head of Regulatory Affairs, Chief Compliance Officer, and member of the executive management team. TerSera is a biopharmaceutical company providing patients with life changing, on-market therapies in oncology, particularly breast and prostate cancer, acute care, and non-opioid pain management.
As a Legal leader in highly-regulated pharma and tech industries over two decades, Jennifer has navigated complexity to advance the companies’ missions to deliver meaningful outcomes for patients’ care and to enhance lives with connection, while also successfully mitigating risk. Jennifer previously served as Vice President, Corporate Legal, Governance, Operations and Assistant Secretary at AbbVie Inc. for more than a decade, leading a multi-disciplinary team and external investor governance relationships. Prior to joining AbbVie/Abbott Laboratories, Ms. Lagunas had responsibility for corporate and securities legal matters at Motorola, Inc., including the spin-off of Motorola Mobility and its subsequent acquisition by Google. Ms. Lagunas was an attorney at the law firm of Winston & Strawn LLP in the corporate department.
Jennifer has launched two S&P 100 large public company spinoffs on the NYSE, built ground-up governance, managed change-in-control transactions as both acquiror and acquiree, prevailed in high-profile shareholder activism, led external-facing investor engagement, managed SEC and stock exchange compliance, and ensured global governance.
She has supported several Boards and executive leadership teams through sensitive high-stakes business issues; advised on $85B+ of large acquisitions, divestitures, and integrations; and has represented companies before regulators.
Her solution-focused mindset is reflected in the results delivered by her empowered multi-disciplinary team and network of outside experts, including in areas such as: regulatory, patent protection, legal operations, litigation, cybersecurity, enterprise data and technologies, purchasing, supply, corporate affairs, employment matters, global affiliate structure, global legal privacy, legal finance, digital health, legal innovation, ESG, and pro bono.

She earned a juris doctorate from the University of Chicago Law School and a bachelor’s degree summa cum laude from Washington University in St. Louis.
